We are a newly organized blank check company incorporated on July 1, 2020 as a Delaware corporation and formed for the purpose of effecting a merger, capital stock exchange, asset acquisition, stock purchase, reorganization or similar business combination with one or more businesses, which we refer to throughout this prospectus as our initial business combination. We have not selected any specific business combination target and we have not, nor has anyone on our behalf, initiated any substantive discussions, directly or indirectly, with any business combination target. While we may pursue an acquisition opportunity in any industry or sector, we intend to focus our efforts on identifying businesses in the FinTech and financial services industries with an equity value of approximately $300 million to $500 million. We believe that our executives and board have considerable experience, talent and expertise in the global financial services and financial technologies sectors, which collectively will offer us an advantage in searching for and acquiring an attractive company with significant value for our shareholders.
